MISSION

 

The Corporate Counsel will be responsible for providing hands-on legal and regulatory support to our UK business across all Shiseido Group brands. Acting as a sole lawyer to the UK and Ireland market, the Corporate Counsel will be a key business partner to the local teams (including Commercial, Marketing and Operational teams), whilst being embedded in a larger EMEA-wide legal team (based in Paris).

MAIN RESPONSIBILITIES

  • Develop a deep understanding of Company’s business and products and the applicable regulatory requirements and regimes.
  • Work with the business and operational counterparts to provide day-to-day legal support for their business dealings, including agreement with retailers, suppliers and service providers, as well as to provide strategic guidance.
  • Support Company brand holders in their advertising campaigns and marketing activity.
  • Support brand protection in anti-counterfeiting measures and grey market enforcement.
  • Assist with development and roll out of internal policies, and guidance documentation to help comply with regulatory requirements, best practices and industry standards applicable to Company products and operations, including supplementing such materials with day-to-day guidance.
  • Management of outside counsel on Real Estate transactions and ongoing monitoring of the Company’s Real Estate portfolio.
  • Identify legal/compliance gaps or market/commercial risk areas and discuss with executive and business team members to develop and implement appropriate-scaled programs to address them.
  • Contribute to developing and delivering processes and procedures for providing effective and efficient legal support, including the development and implementation of standardised templates (including selective distribution agreements) and processes
  • Provide UK/EU competition law advice, in collaboration with EMEA legal team.
  • Develop and implement a UK contract management process.
  • Oversee occasional Litigation and provide Litigation support.
  • Assist with GDPR implementation, and other Privacy matters in collaboration with Company DPO.
  • Assist with Company secretarial issues and general corporate record keeping/diligence.
  • Work collaboratively with a broad range of people and departments throughout the organisation to develop and maintain strong working relationships between Legal, Finance, Commercial/Marketing, Regulatory and Operations to facilitate a team based approach and encourage and ensure the proactive use of in-house legal counsel.
  • Prepare and provide presentations to business partners as needed.

 

 

PROFILE

  • UK qualified lawyer with strong academic credentials and an undergraduate degree from a university of recognised standing and qualified within a top tier private practice.
  • Postgraduate qualification or Masters in EU Competition Law highly desirable.
  • Successful track record of broad commercial legal experience, preferably within the Retail/FMCG sector with a mixture of in-house and private practice experience.
  • Experience in successfully managing relationships with a high energy, diverse group of stakeholders across organisational lines. A thoughtful, articulate and effective communicator who can distil and articulate the important aspects of any legal issue to a wide audience of participants.
  • A great interest in the business and exhibit sound commercial judgement when assessing legal risks in conjunction with reputational, commercial and business aspects.
  • Able to work successfully across time zones and cultures to support significant international operations.
  • Adept at balancing multiple priorities in a fast-paced environment.
  • Work independently with limited supervision and high degree of initiative, making decisions quickly but also seeking guidance where needed.
  • Business fluency in one or more European language an advantage.
  • Proven business acumen, including the ability to see the “big picture” in correlation with very detailed and specific legal and business issues.
  • Able to interact with persuasiveness and confidence.
